1. Agreement to Terms
These Terms of Service (“Terms”) constitute a legally binding agreement between you (“Customer,” “you,” or “your”) and Ares Legal, LLC (“Ares,” “we,” “us,” or “our”) governing your access to and use of the Ares platform, including all associated software, APIs, and services (collectively, the “Service”).
By accessing or using the Service, you agree to be bound by these Terms. If you are using the Service on behalf of an organization, you represent and warrant that you have authority to bind that organization to these Terms.
2. Description of Service
Ares provides an AI-powered litigation support platform designed for law firms and legal professionals. The Service includes, but is not limited to, medical record summarization, demand letter generation, document drafting, deposition preparation, discovery assistance, and AI-powered legal research tools.
The Service is intended to assist legal professionals and does not constitute legal advice. You are solely responsible for all legal decisions, client communications, and filings made using outputs from the Service.
3. Account Registration and Access
To use the Service, you must create an account and provide accurate, complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.
You agree to notify us immediately of any unauthorized use of your account. We reserve the right to suspend or terminate accounts that violate these Terms or pose a security risk.
4. Subscription and Payment
Access to the Service requires a paid subscription. Pricing, billing cycles, and payment terms are set forth in your Order Form or subscription agreement. All fees are non-refundable except as expressly stated in your Order Form.
We reserve the right to modify pricing with at least 30 days' written notice prior to your next renewal period. Your continued use of the Service after a price change constitutes acceptance of the new pricing.
5. Acceptable Use
You agree not to:
- Use the Service for any unlawful purpose or in violation of any applicable law or regulation
- Reverse engineer, decompile, disassemble, or attempt to derive the source code of the Service
- Sublicense, resell, or redistribute the Service to third parties without our prior written consent
- Interfere with or disrupt the integrity or performance of the Service
- Upload or transmit viruses, malware, or other harmful code
- Attempt to gain unauthorized access to any part of the Service or its related systems
- Use the Service to generate outputs that are intentionally misleading to courts, opposing counsel, or other parties
6. Intellectual Property
Our Intellectual Property
The Service, including all software, algorithms, models, user interfaces, and documentation, is owned by Ares and protected by intellectual property laws. These Terms grant you a limited, non-exclusive, non-transferable license to use the Service during your subscription term.
Your Content
You retain all rights to the data, documents, and materials you upload to or generate through the Service (“Customer Content”). You grant us a limited license to process Customer Content solely for the purpose of providing and improving the Service.
AI-Generated Outputs
Outputs generated by the Service using your Customer Content are owned by you. We make no claim of ownership over AI-generated outputs produced from your data.
7. Data Privacy and Security
Our collection, use, and protection of your data is governed by our Privacy Policy, which is incorporated into these Terms by reference. We are committed to maintaining HIPAA compliance, and where applicable, we will execute a Business Associate Agreement (“BAA”) with you.
We do not use Customer Content to train AI models. All AI processing is performed under zero-data-retention agreements with our infrastructure providers.
8. Confidentiality
Each party agrees to protect the other party's Confidential Information with the same degree of care it uses to protect its own confidential information, but no less than reasonable care. Confidential Information includes, but is not limited to, Customer Content, case data, business strategies, and technical specifications.
We recognize the heightened sensitivity of attorney-client privileged materials and work product. We implement additional safeguards to protect such information as described in our Security documentation.
9. Service Availability and Support
We strive to maintain 99.9% uptime for the Service. Scheduled maintenance windows will be communicated in advance. We provide customer support during business hours, with priority support available for enterprise plans.
We reserve the right to modify, update, or discontinue features of the Service with reasonable notice. Material changes to core functionality will be communicated at least 30 days in advance.
10. Disclaimers
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
We do not warrant that AI-generated outputs are accurate, complete, or suitable for any particular legal matter. You are responsible for reviewing and verifying all outputs before use in legal proceedings or client communications.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ARES'S TOTAL LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS SHALL NOT EXCEED THE AMOUNTS PAID BY YOU TO ARES IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
IN NO EVENT SHALL ARES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.
12. Indemnification
You agree to indemnify, defend, and hold harmless Ares and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of your use of the Service, violation of these Terms, or infringement of any third party's rights.
13. Term and Termination
These Terms remain in effect for the duration of your subscription. Either party may terminate with written notice as specified in your Order Form. We may immediately suspend or terminate your access if you materially breach these Terms.
Upon termination, we will securely delete your Customer Content within 30 days, unless you request an earlier deletion or a data export. Provisions that by their nature should survive termination shall survive, including Sections 6, 8, 10, 11, 12, and 14.
14. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to conflict of law principles. Any disputes arising under these Terms shall be resolved exclusively in the state or federal courts located in Delaware.
15. Changes to These Terms
We may update these Terms from time to time. We will provide notice of material changes at least 30 days before they take effect by emailing the address associated with your account. Your continued use of the Service after the effective date of changes constitutes acceptance of the updated Terms.
